Terms of Service
These Terms explain how Archivo may be used, what users are responsible for, and the limits of Archivo's AI-assisted document tools.

These Terms of Service govern your access to and use of Archivo, including our website, web application, desktop application, AI tools, file management features, document generation features, PDF tools, spreadsheet-related features, and other services we provide. By creating an account, accessing Archivo, uploading files, or using any part of the service, you agree to these Terms. If you do not agree, you must not use Archivo.
Archivo is a software platform designed to help users manage, organize, process, analyze, and generate work-related documents, files, reports, spreadsheets, PDFs, and other project materials. Archivo may include AI-assisted features that help summarize, classify, extract, convert, generate, or organize content. Archivo is intended to assist with productivity and document workflows. It is not a substitute for professional legal, engineering, accounting, medical, financial, or other licensed professional advice.
You may use Archivo only if you are legally capable of entering into a binding agreement. If you are using Archivo on behalf of a company, partnership, organization, or other entity, you represent that you have authority to accept these Terms on behalf of that entity. You are responsible for ensuring that your use of Archivo complies with all applicable laws, regulations, company policies, and contractual obligations.
Some features may require an account. When creating an account, you agree to provide accurate, complete, and updated information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you believe your account has been accessed without authorization. We are not responsible for losses caused by unauthorized use of your account unless required by applicable law.
“User Content” means any files, documents, images, spreadsheets, PDFs, text, data, prompts, instructions, outputs, or other materials that you upload, submit, create, store, process, or generate through Archivo. You retain ownership of your User Content. These Terms do not transfer ownership of your files or documents to Archivo. By using Archivo, you grant Archivo a limited, non-exclusive, worldwide license to host, store, process, copy, display, transmit, analyze, and use your User Content only as necessary to provide, maintain, secure, improve, and support Archivo and its features. You are responsible for your User Content and for ensuring that you have the necessary rights, permissions, and authority to upload or process it through Archivo.
Archivo may include AI-assisted tools for document review, text generation, summaries, extraction, classification, report drafting, spreadsheet assistance, file organization, and other automated or semi-automated functions. AI-generated results may be inaccurate, incomplete, outdated, or unsuitable for your intended purpose. You are responsible for reviewing and verifying all AI-generated content before relying on it, submitting it, publishing it, sending it, or using it for business, legal, financial, engineering, construction, medical, or compliance-related purposes. Archivo does not guarantee that AI outputs will be error-free, compliant with any specific standard, or suitable for any specific professional use.
You agree not to use Archivo to:
- Violate any law, regulation, court order, contract, or third-party right.
- Upload, share, or generate unlawful, harmful, abusive, defamatory, fraudulent, or infringing content.
- Upload malware, viruses, scripts, or harmful code.
- Attempt to gain unauthorized access to Archivo, other accounts, servers, systems, or networks.
- Reverse engineer, copy, scrape, overload, interfere with, or disrupt Archivo.
- Use Archivo to create spam, phishing content, scams, impersonation, or deceptive materials.
- Upload confidential, sensitive, personal, or proprietary information unless you have authority to do so.
- Use Archivo to produce professional advice or official documents without proper review by a qualified person.
- Circumvent usage limits, subscription restrictions, access controls, or security measures.
- Use Archivo in any manner that may damage, disable, overburden, or impair the service.
We may suspend or terminate access if we believe your use violates these Terms or creates risk to Archivo, other users, third parties, or our systems.
Your use of Archivo may involve the processing of personal information. Our collection, use, storage, and protection of personal information are described in our Privacy Policy. By using Archivo, you agree that your personal information and User Content may be processed as necessary to provide the service, maintain security, comply with legal obligations, respond to support requests, and improve the platform. You are responsible for ensuring that any personal data you upload or process through Archivo is collected and used lawfully, with any required consent, authority, notice, or legal basis.
Archivo may offer free, beta, trial, paid, or subscription-based plans. Features, limits, storage, AI usage, and access may vary depending on your plan. If you subscribe to a paid plan, you agree to pay all applicable fees, taxes, and charges. Payment terms will be shown at the time of purchase or subscription. Because Archivo is a usage-based service, refunds are handled on a usage-adjusted basis: when you are eligible, we refund the amount you paid minus the value of any usage or Boost you have already consumed. Details — including eligibility windows, one-time beta passes, Boost credits, billing errors, and how to request a refund — are set out in our Refund Policy, which forms part of these Terms. Except as provided in the Refund Policy or required by applicable law, fees are non-refundable. We may change pricing, features, usage limits, or subscription terms by providing reasonable notice where required. Failure to pay fees may result in suspension, downgrade, or termination of your access to paid features.
Archivo may offer beta, experimental, or early-access features. These features may be unstable, incomplete, or changed without notice. Beta features are provided for testing and feedback. We do not guarantee that beta features will be secure, reliable, accurate, available, or continued in the final version of Archivo. You use beta features at your own risk.
Archivo may integrate with third-party tools, platforms, storage providers, AI services, payment processors, email services, or other external services. Your use of third-party services may be subject to separate terms and privacy policies. We are not responsible for third-party services, their availability, security, content, or actions. We may add, modify, suspend, or remove integrations at any time.
Archivo, including its software, design, interface, branding, logos, workflows, templates, features, systems, and documentation, is owned by or licensed to UrsimusAI or the legal entity operating Archivo. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Archivo unless expressly allowed in writing. You may use outputs generated through Archivo for your own lawful business or personal purposes, subject to these Terms and any third-party rights. You remain responsible for reviewing outputs and ensuring they do not violate any law, contract, or third-party right.
If you submit suggestions, feedback, ideas, bug reports, or feature requests, you allow Archivo to use them without restriction or compensation to you. We may use feedback to improve Archivo, develop new features, fix issues, or modify our services.
We aim to keep Archivo available and reliable, but we do not guarantee uninterrupted or error-free service. Archivo may be unavailable due to maintenance, updates, system failures, internet issues, third-party service disruptions, security incidents, or events beyond our control. We may modify, suspend, discontinue, or limit any part of Archivo at any time.
We take reasonable measures to protect Archivo and user data. However, no system, software, internet transmission, or storage method is completely secure. You are responsible for maintaining secure devices, passwords, networks, backups, and access controls. You should keep independent backups of important files. Archivo should not be used as your only storage location for critical business, legal, financial, or project documents.
Archivo is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, non-infringement, and suitability for your intended use.
We do not guarantee that Archivo will meet your requirements, operate without interruption, remain error-free, produce accurate AI outputs, preserve all files without loss or corruption, or remain compatible with all devices, systems, browsers, or file formats.
To the maximum extent permitted by law, UrsimusAI, the legal entity operating Archivo, and their owners, officers, employees, contractors, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of business, loss of goodwill, work delays, project delays, or cost of substitute services. Our total liability for any claim arising from or relating to Archivo shall not exceed the amount you paid to us for the service during the three months before the claim arose, or PHP 5,000, whichever is lower, unless a different limit is required by law.
You agree to defend, indemnify, and hold harmless UrsimusAI, the legal entity operating Archivo, and their owners, officers, employees, contractors, partners, and affiliates from any claims, damages, liabilities, losses, costs, and expenses arising from your use or misuse of Archivo, your User Content, your violation of these Terms, your violation of any law, regulation, contract, or third-party right, your reliance on AI-generated outputs without proper review, or your unauthorized upload or processing of confidential, proprietary, or personal information.
You may stop using Archivo at any time. We may suspend, restrict, or terminate your access if you violate these Terms, fail to pay applicable fees, create legal or security risk, or if we are required to do so by law, regulation, court order, or government request. Upon termination, your right to use Archivo will stop. We may delete or restrict access to your account and User Content subject to our data retention policy, legal obligations, and backup procedures. You are responsible for exporting or backing up your files before termination whenever possible.
We may update these Terms from time to time. If changes are material, we will provide reasonable notice through Archivo, email, website notice, or other appropriate means. Your continued use of Archivo after the updated Terms take effect means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using Archivo.
These Terms shall be governed by the laws of the Republic of the Philippines, unless another jurisdiction is required by applicable law. Any dispute arising from or relating to these Terms or Archivo shall first be resolved through good-faith discussions, following the steps set out in our Dispute Resolution Policy. If the dispute cannot be resolved amicably, it shall be submitted to the proper courts of the Philippines, unless applicable law requires otherwise.

These Terms, together with any applicable Privacy Policy, subscription terms, order forms, or additional written agreements, constitute the entire agreement between you and Archivo regarding the service. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect.
